TechFlow news, July 10 — According to a blog post from a16z's official website, venture capital firm AH Capital Management (a16z) announced it is moving its corporate registration from Delaware to Nevada.
a16z stated that recent rulings by Delaware's Court of Chancery have been subjective, undermining its reputation as a fair and professional court and increasing legal uncertainty. In contrast, Nevada has taken steps to establish a technical, non-ideological mechanism for resolving business disputes and has explicitly codified the "business judgment rule" in its statutes, limiting judges' ability to modify this principle. Previously, tech companies such as Dropbox, Tripadvisor, and Tesla have also relocated from Delaware.
