TechFlow news: Bitcoin mining companies Riot Platforms and Bitfarms have announced a settlement agreement. According to the filing submitted to the U.S. Securities and Exchange Commission (SEC), Riot has agreed to withdraw its request to reconstitute the Bitfarms board of directors. In exchange, Bitfarms has appointed Amy Freedman as a new director and placed her on key committees. Andrés Finkielsztain has resigned from the board. As a major shareholder, Riot will have the right to nominate a qualified candidate to join the board under certain conditions.
The special shareholders' meeting originally scheduled for November 6, 2024, will proceed as planned. Riot has committed to supporting the resolutions proposed at the meeting, including expanding the Bitfarms board from five to six members.
