TechFlow news, May 6 — According to an official announcement, on May 5, 2025, OpenAI announced a major structural reorganization, transitioning its for-profit limited liability company (LLC) into a Public Benefit Corporation (PBC). CEO Sam Altman stated that the new structure will remain under control of the nonprofit organization, which will become the majority shareholder of the PBC.
This transformation will adopt a simpler capital structure, replacing the previous "capped profit" model. OpenAI emphasized that this is not a sale, but a structural optimization aimed at securing more resources to expand the reach of its AI services, with hundreds of billions of dollars potentially required in the future.
The company said the decision follows constructive discussions with the Attorneys General of Delaware and California. The new structure will better balance shareholder interests with the company's mission, ensuring that AGI continues to benefit all humanity.
