TechFlow news, on December 27, according to official announcements, the OpenAI board is evaluating the company's structure with the goal of establishing a stronger nonprofit organization supported by a for-profit entity. OpenAI stated that this plan would create one of the most well-resourced nonprofit organizations in history. OpenAI believes its corporate structure must evolve to advance its mission of ensuring artificial general intelligence (AGI) benefits all humanity.
OpenAI plans to convert its existing for-profit company into a Delaware Public Benefit Corporation (PBC). An independent financial advisor will determine a fair valuation, and the majority of shares will be transferred to the nonprofit organization, significantly increasing its resources. The PBC structure requires the company to balance shareholder interests, stakeholder interests, and public interests in decision-making. This will enable OpenAI to raise necessary capital under standard terms, while the nonprofit can operate independently, focusing on charitable initiatives in areas such as healthcare, education, and science.
